1. Acceptance of Terms

By accessing or using Auxilar ("the Platform"), operated by Auxilar ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Service

Auxilar provides an AI-powered executive assistant platform for real estate agents. Our services include AI voice calling, lead and booking management, email assistance, market report generation, and related tools accessible through auxilar.online.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old to use our services
  • One person or entity may not maintain more than one account without prior approval
  • You are responsible for all activity that occurs under your account

4. Acceptable Use

You agree NOT to use Auxilar to:

  • Violate any applicable law, regulation, or third-party rights
  • Make calls or send messages that violate telemarketing laws (TCPA or equivalent local regulations)
  • Engage in harassment, threats, fraud, or deceptive practices
  • Impersonate any person or entity, or misrepresent your affiliation
  • Transmit malware, spam, or any harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the platform for any illegal robocalling or unsolicited bulk communications
  • Reverse-engineer, decompile, or disassemble any part of the platform

5. AI Voice Services

When using our AI voice assistant:

  • You are responsible for ensuring your use of the AI assistant complies with all applicable laws regarding automated calls and disclosures
  • You must disclose to call recipients that they are interacting with an AI when required by law
  • Call recordings and transcriptions are stored securely and subject to our Privacy Policy
  • We reserve the right to suspend AI assistant access that violates these terms or applicable regulations
  • You are responsible for maintaining valid credentials with any third-party services you connect (including but not limited to OpenAI, Twilio, and Google) that power the AI assistant's functionality

6. Payment & Billing

  • Auxilar is offered as a monthly subscription at $699/month, providing access to the platform for the duration of the subscription.
  • All fees are non-refundable unless otherwise stated or required by applicable law
  • We reserve the right to change pricing for new purchases at any time; this will not affect the terms of a purchase you have already made
  • You are separately responsible for any usage costs charged directly by third-party services you connect to Auxilar (such as OpenAI or Twilio), which are billed to you by those providers, not by us

7. Intellectual Property

The Platform, including its design, features, and technology, is owned by Auxilar and protected by intellectual property laws. You retain ownership of your data and content uploaded to the platform.

You grant us a limited license to process your data as necessary to provide our services. We do not use your call data to train AI models shared with other customers.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our control, including third-party service outages, network issues, or force majeure events.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUXILAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI ASSISTANT OUTPUTS WILL BE ACCURATE, COMPLETE, OR ERROR-FREE.

11. Termination

You may cancel your account at any time through your Settings. We may suspend or terminate your account if you violate these terms, with or without notice.

Upon termination, your right to use the platform ceases immediately. We will retain your data for 30 days to allow for export, after which it will be permanently deleted.

12. Indemnification

You agree to indemnify and hold Auxilar harmless from any claims, damages, or expenses arising from your use of the platform, your violation of these terms, or your violation of any third-party rights.

13. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or platform notification at least 30 days in advance. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by and construed in accordance with applicable law. Any disputes arising from these terms or your use of the platform shall be resolved through binding arbitration, except where prohibited by law.
